Terms of Service

1. Agreement
These Terms form a binding agreement between you and MavenWright Studio, a software studio based in Istanbul, Türkiye ("MavenWright", "we", "us"). By creating a StitchKit account, subscribing to a paid plan, or downloading the StitchKit application, you accept these Terms.
2. The service
StitchKit is desktop and web-based embroidery design software offered as a monthly subscription. Three tiers: Starter ($49/month), Pro ($79/month), Ultimate ($149/month). Features per tier are described on mavenwright.com/stitchkit. We may add or improve features at any time; we will not remove features without 30 days notice.
3. Subscription, billing, and renewal
- Subscriptions are billed monthly in advance via our merchant of record, Polar Software Inc. You authorize Polar to charge your payment method automatically until you cancel.
- Prices are displayed in US dollars and may be presented in local currency at checkout. Applicable taxes are added per your jurisdiction.
- You may cancel anytime from your account dashboard. Cancellation stops future billing at the end of the current period; you retain access until then.
- We may change prices with 30 days notice; new pricing takes effect at your next renewal.
- Failed payments suspend access after 7 days of unsuccessful retry; data is retained for 90 days.
4. Cancellations and refunds
All sales are final. Subscriptions are billed monthly in advance and StitchKit does not offer voluntary refunds. You may cancel anytime from your account dashboard; cancellation stops future billing at the end of the current period and you retain full access until then. Refunds are issued only where required by applicable consumer-protection law (e.g. EU statutory withdrawal rights for digital purchases that have not begun delivery), or for verified service outages exceeding 24 hours or material billing errors. 5. Account responsibilities
- You are responsible for keeping login credentials secure and for all activity on your account.
- One account per natural person. Ultimate tier allows multiple seats, each tied to a named user.
- License transfer requires written consent and is permitted for permanent ownership changes.
- Sharing seats with people outside the named users on your subscription is not permitted.
6. Acceptable use
You agree not to use StitchKit to:
- Violate applicable law or third-party rights (including IP, privacy, contract).
- Reverse engineer, decompile, redistribute, or extract source code except where prohibited by law.
- Resell or sublicense StitchKit, or use it to provide a competing embroidery digitizing service-as-a-service.
- Design embroidery patterns infringing third-party trademarks, copyrights, or publicity rights without authorization.
- Submit malicious files or content damaging other users' systems via shared features.
Violations may result in immediate suspension or termination without refund.
7. Intellectual property
Your content. Embroidery designs, patterns, source files, and any content you create or upload remain yours. We claim no ownership, license, or right to use your designs. You may export, copy, and distribute your work freely.
Our software. The StitchKit application, MavenWright brand, StitchKit brand, source code, UI designs, documentation, and trademarks are property of MavenWright Studio. We grant you a non-exclusive, non-transferable, revocable license to use the software while your subscription is active.
8. Data ownership and portability
Your designs remain accessible in open file formats (DST, PES, EXP, JEF, VP3, XXX, PEC). Cancellation does not lock or destroy your files. We do not use your designs to train machine learning models, do not sell your data, and do not view your designs unless you explicitly share them for support.
9. Warranty disclaimer
StitchKit is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We make best efforts but do not warrant uninterrupted, error-free operation.
Always run a sample stitch on scrap material before committing to expensive fabric. Embroidery hardware, threads, stabilizers, and fabrics vary; software previews cannot guarantee identical results on your equipment.
10. Limitation of liability
To the maximum extent permitted by law, MavenWright's total cumulative liability for any claim related to the service shall not exceed the greater of (a) US$200 or (b) the total amount you paid to MavenWright in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, lost profits, lost data, or lost goodwill.
11. Termination
- You may terminate by cancelling your subscription anytime.
- We may terminate for material breach with 7 days written notice (immediate for acceptable-use violations).
- Upon termination, your right to use StitchKit ends. You retain ownership of your designs and may export them indefinitely from local installations.
12. Modifications to these Terms
We may modify these Terms with 30 days notice via email and in-app banner. Continued use after the notice period constitutes acceptance.
13. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Türkiye. Disputes shall first be addressed by good-faith negotiation. Unresolved disputes shall be submitted to the courts and enforcement offices of Istanbul (Çağlayan), Türkiye. EU consumers retain mandatory rights under their national consumer protection law.
14. Force majeure
Neither party is liable for failure to perform due to events beyond reasonable control, including acts of god, war, civil unrest, pandemics, governmental actions, network outages, or third-party infrastructure failures.
15. Miscellaneous
- Entire agreement. These Terms plus the Privacy Policy constitute the full agreement between you and us regarding StitchKit.
- Severability. If any provision is found unenforceable, the remainder stays in effect.
- No waiver. Our failure to enforce a provision does not waive future enforcement.
- Assignment. You may not assign these Terms without our written consent. We may assign them in a merger, acquisition, or sale of assets.
